Marketplace Legal Framework

1Platform Role & Section 230

Rollick operates as a marketplace facilitator, providing a platform for users to buy, sell, and trade merchandise. Rollick connects buyers and sellers but is not itself a party to marketplace transactions between users.

Under Section 230 of the Communications Decency Act (47 U.S.C. § 230), Rollick is not the publisher or speaker of user-generated listings. Content posted by sellers — including item descriptions, photographs, and pricing — reflects the views and representations of the individual seller, not Rollick.

Rollick's role is limited to:

  • Providing the marketplace infrastructure and technology platform
  • Facilitating payment processing via Stripe Connect
  • Providing escrow services for transaction security
  • Offering dispute resolution between buyers and sellers

Rollick does not take title to, possess, or inspect items listed by sellers, except items originally distributed through Rollick pack openings, which are verified authentic.

Despite Section 230 protections, Rollick voluntarily monitors listings for prohibited content, counterfeit goods, and policy violations. This voluntary monitoring does not create an obligation to review every listing or waive any applicable legal protections.

2Marketplace Facilitator — Sales Tax Obligations

Under marketplace facilitator laws enacted in 45+ states, Rollick is responsible for collecting and remitting sales tax on marketplace transactions where Rollick facilitates the sale and processes payment.

  • Rollick collects applicable sales tax at the combined state and local rate based on the buyer's shipping address
  • Sales tax is calculated automatically using the rates maintained in our compliance system
  • Sellers are not required to collect sales tax separately — Rollick handles this as the marketplace facilitator
  • Rollick remits collected sales tax to each state according to the applicable filing schedule

For states where Rollick does not have marketplace facilitator obligations, sellers are responsible for their own tax compliance.

Sales tax does not apply in states with no sales tax (OR, DE, MT, NH) or on transactions between users in the same tax-exempt category.

3Payment Facilitation & Money Transmission

Rollick processes marketplace payments through Stripe Connect, a licensed payment facilitator. Stripe Connect holds applicable money transmitter licenses on behalf of marketplace platforms.

Rollick does not directly hold, transmit, or control buyer funds — Stripe acts as the payment processor.

Transaction flow:

  • Buyer pays → Stripe holds funds → Seller confirms item transfer → 48-hour dispute window → Stripe releases funds to seller (minus 5% Rollick fee)

The 48-hour hold period is a standard payment facilitation practice, not a regulated escrow service.

Rollick does not pool user funds or commingle marketplace proceeds with operating funds.

For users who maintain a Rollick wallet balance: wallet operations are governed by the Wallet & Stored Value Terms.

Rollick has consulted with legal counsel regarding money transmitter licensing exemptions applicable to marketplace facilitators using licensed payment processors.

4Escrow & Transaction Security

Rollick provides transaction security through Stripe Connect's built-in escrow functionality. Funds are held by Stripe (not Rollick) during the 48-hour buyer review period.

This structure is designed to fall within the "payment processor exemption" to state money transmitter laws.

  • If a buyer files a dispute within 48 hours, funds remain held until resolution
  • After the dispute window closes, funds are automatically released to the seller

Rollick does not charge a separate escrow fee — the service is included in the 5% marketplace fee.

5Consumer Protection Compliance

Rollick complies with the FTC Act (Section 5) prohibition on unfair or deceptive trade practices.

Listing requirements:

  • Accurate descriptions
  • Honest condition reporting
  • Genuine photographs
  • Truthful pricing

Price manipulation, shill bidding, wash trading, and artificial demand creation are prohibited (see Seller Agreement Section 7).

Rollick maintains an internal compliance team that reviews flagged listings. Users can report suspicious listings via the report button on any listing page.

Rollick cooperates with the FTC and state attorneys general on consumer protection matters.

6Stolen & Counterfeit Goods Policy

Rollick prohibits the listing of stolen, counterfeit, or misrepresented goods.

Items distributed through Rollick pack openings are guaranteed authentic — they are sourced directly from authorized distributors and verified before inclusion in packs.

For user-to-user marketplace listings:

  • Sellers warrant that they have legal ownership and the right to sell
  • Rollick will remove listings upon credible reports of stolen or counterfeit goods
  • Rollick cooperates with law enforcement investigations and will provide transaction records pursuant to valid legal process (subpoena, court order, or search warrant)
  • Repeat offenders will have their accounts permanently suspended

Prohibited items include but are not limited to:

  • Weapons
  • Controlled substances
  • Recalled products
  • Hazardous materials
  • Items violating export controls
  • Tobacco/alcohol (age-restricted)
  • Live animals
  • Counterfeit or replica goods

7Intellectual Property on the Marketplace

Sellers must not list items that infringe on third-party intellectual property rights.

Brand owners may submit IP infringement claims through Rollick's DMCA process (see DMCA Policy).

Rollick participates in brand protection programs and will remove infringing listings upon valid notice.

Repeat IP infringers will lose marketplace access per Rollick's repeat infringer policy.

Rollick does not verify the authenticity of items listed by individual sellers — only items from Rollick pack openings are verified.

8Marketplace Facilitator Reporting

Rollick issues IRS Form 1099-K to sellers who exceed the federal reporting threshold ($600/year in gross sales).

  • Sellers are notified when approaching the threshold and prompted to provide W-9 information
  • Rollick retains transaction records for 7 years per IRS requirements
  • State-specific reporting: Rollick complies with state 1099-K requirements where thresholds differ from federal

Sellers are responsible for reporting all marketplace income regardless of whether a 1099-K is issued.

9Prohibited Marketplace Activities

The following activities are strictly prohibited and will result in immediate suspension:

  • Listing items not in your Rollick inventory
  • Misrepresenting item condition, authenticity, or value
  • Price manipulation (including artificially inflating prices through shill accounts)
  • Wash trading (buying your own listings to inflate transaction volume)
  • Circumventing the 5% marketplace fee
  • Using bots or automated tools for listing, buying, or sniping
  • Colluding with other users to manipulate market prices
  • Money laundering or structuring transactions to avoid reporting thresholds
  • Creating multiple accounts to circumvent seller restrictions
  • Listing items obtained through exploitation of platform bugs or vulnerabilities
10Marketplace Dispute Resolution

Buyer disputes must be filed within 48 hours of item receipt (see Dispute Resolution Policy).

Rollick's marketplace dispute team reviews all evidence from both parties.

Resolution options:

  • Full refund to buyer
  • Partial refund
  • Item return
  • Case dismissal

Rollick's dispute resolution decision is binding for marketplace transactions. Either party may appeal within 7 days.

For disputes involving potential fraud:

  • Rollick may freeze both accounts pending investigation
  • Refer the matter to law enforcement if warranted

11Liability Limitations

Rollick is not a party to marketplace transactions between users.

Rollick does not guarantee the quality, safety, legality, or authenticity of user-listed items. Only Rollick-distributed pack items are guaranteed.

Rollick's liability for marketplace-related claims is limited to the marketplace fee collected on the disputed transaction.

Users agree to indemnify Rollick against claims arising from their marketplace activities.

Full limitation of liability terms are in the Terms of Service (Section 8).

12Regulatory Compliance

Rollick monitors and complies with evolving marketplace facilitator regulations. Applicable regulations include:

  • State marketplace facilitator tax laws (45+ states)
  • FTC Act and state consumer protection laws
  • Section 230 of the Communications Decency Act
  • State money transmitter laws and exemptions
  • IRS reporting requirements (1099-K)
  • State-specific e-commerce regulations
